1. Acceptance of Terms

By accessing or using the Wisent mobile or web applications ("App" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. Wisent Software ("we," "us," or "our") may modify these Terms at any time, and continued use after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be 18+ to use the Service (13-17 with parental consent). EU users must be 16+ without parental consent. Users under 13 are not permitted.

3. Closed Beta Program

The Service is currently offered as a closed beta. Features may be incomplete, unstable, or unavailable at times. Participation is voluntary and provided "as is" for testing and feedback. We make no warranty that the Service will function without error or interruption.

4. Account Registration and Security

To use certain features, you may be required to create an account. You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately of unauthorized use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Attempt to reverse engineer, copy, or modify any portion of the App or Service.
• Interfere with the integrity or security of our systems.
• Use the Service to generate or distribute harmful, misleading, or unlawful content.
• Access the Service using automated means without prior written consent.
• Harass, bully, threaten, or intimidate other users or any individual.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Engage in any conduct intended to harm, abuse, or exploit others on the platform.

Violation of these restrictions may result in suspension or termination of your account.

5.1 Zero Tolerance for Harassment, Impersonation, and Harmful Conduct

Wisent Software maintains a zero-tolerance policy for harassment, impersonation, and harmful conduct. If we determine, in our sole discretion, that you are:

• Harassing, bullying, threatening, or intimidating others
• Impersonating another person, entity, or Wisent representative
• Attempting to harm, abuse, exploit, or endanger others through use of the platform
• Engaging in any other conduct that we deem harmful to users, the community, or Wisent Software

We reserve the right to permanently disable your account immediately, with or without prior warning or notice. This action may be taken at any time and without explanation. You will not be entitled to any refund of subscription fees upon account termination for violation of this policy.

6. AI-Generated Content

The Service uses AI technologies from OpenAI (GPT models), Anthropic (Claude), and Google (Gemini). When you use AI features, your prompts and relevant calendar context are transmitted to these providers.

6.1 AI Data Processing:

• Your messages, prompts, and queries are sent to AI service providers.
• Relevant calendar data (event names, times, descriptions) may be shared to provide contextual responses.
• AI providers may retain your data according to their own privacy policies.
• We may store AI interactions for up to five (5) years for product improvement.

6.2 AI Limitations:

AI outputs are generated algorithmically and are NOT human-verified. You acknowledge and agree that:

• AI content may be inaccurate, incomplete, outdated, or inappropriate.
• AI responses may contain errors, hallucinations, or fabricated information.
• You are solely responsible for verifying and acting upon AI outputs.
• AI responses do NOT constitute professional advice. Do not rely on AI for legal, medical, financial, tax, or safety-critical decisions.
• Wisent Software disclaims all liability for damages or outcomes resulting from reliance on AI-generated content.

6.3 Your Responsibilities:

• Do not input sensitive personal information, passwords, or confidential data into AI features.
• Do not use AI features to generate harmful, illegal, or abusive content.
• You are responsible for ensuring your use of AI complies with applicable laws.

7. Payments and Subscriptions

Subscriptions are processed through Apple App Store, Google Play, or Stripe. Payment management is handled through RevenueCat. We do not store your payment card details.

Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the billing period ends.

Free Trials: If offered, trials convert to paid subscriptions unless canceled before the trial ends.

Cancellation: Cancel anytime via your device's App Store or Google Play settings. Access continues until the end of your paid period. No partial refunds.

Refunds: Contact Apple or Google directly for refund requests.

8. Intellectual Property

All content, design, trademarks, and software within the Service are owned or licensed by Wisent Software and protected under applicable copyright and intellectual property laws. You may not copy, distribute, modify, or create derivative works based on the Service without prior written consent.

9. Feedback and User Submissions

By submitting feedback, suggestions, bug reports, or ideas ("Feedback"), you grant Wisent Software a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such Feedback into current or future products without obligation, compensation, or attribution.

You acknowledge that:

• Feedback becomes the property of Wisent Software upon submission.
• No confidentiality obligation applies unless expressly agreed in writing.
• You will not submit information that infringes intellectual property rights or violates applicable law.

10. Data and Privacy

Our collection and processing of personal data are governed by our Privacy Policy. By using the Service, you agree to that Policy.

11. Termination

We reserve the right to suspend or terminate access to the Service, in whole or in part, at our discretion and without prior notice, including for violation of these Terms or applicable law. Upon termination, your right to use the Service ceases immediately. You may also delete your account within the App or through the web portal.

12. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We disclaim all warranties, including those of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We make no guarantee that the Service will be uninterrupted, secure, or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Wisent Software and its affiliates, officers, directors, employees, and partners shall not be liable for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the Service.
• Reliance on AI-generated or automated outputs.
• Unauthorized access to or alteration of your data.
• Any bugs, errors, or interruptions arising during the beta phase.

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability, so portions of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Wisent Software and its affiliates, officers, and employees from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

15. Governing Law

These Terms shall be governed by and construed under the laws of the United States, without regard to conflict-of-law rules.

16. International Users

Accessing the Service from outside the United States may result in the transfer and processing of data in the United States. By using the Service, you consent to such transfers.

17. Changes to the Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance.

18. Third-Party Integrations

The Service integrates with third-party services subject to their respective terms:

• Google Calendar: Calendar imports are one-way. We are not responsible for sync errors or data discrepancies.
• Apple/Google Sign-In: Subject to Apple and Google's respective terms.
• Weather and other services: Data from third-party providers may not always be accurate.

You are responsible for compliance with all third-party terms when using integrated services.

19. Apple App Store Terms

If you downloaded the App from the Apple App Store:

• These Terms are between you and Wisent Software, not Apple Inc.
• Wisent Software, not Apple, is solely responsible for the App and its content.
• Apple has no obligation to provide maintenance or support for the App.
• In the event of any failure of the App to conform to applicable warranties, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims relating to the App or your possession/use of the App.
• Apple is not responsible for investigation, defense, settlement, or discharge of any third-party intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

20. Google Play Terms

If you downloaded the App from Google Play:

• These Terms are between you and Wisent Software, not Google LLC.
• Google is not responsible for the App or its content.
• You agree to comply with Google Play's Terms of Service.
• Google has no obligation to provide support for the App.
